Draft compliance notice
These AGB are an implementation draft for lawyer review. They are not final legal terms and must be completed with the German operating entity details, commercial model, complaint process, and lawyer-reviewed wording before public launch.
B2B-only platform
FromAsia Foods is intended for verified business users only. Suppliers, buyers, and administrators may use the platform solely for business purposes. Consumers are not the intended users of the platform.
Platform role
FromAsia Foods is designed as an online B2B intermediary that helps verified suppliers present products and helps trade buyers submit order requests. Under the default launch model, the platform does not sell food products, import goods, warehouse products, provide logistics or cold-chain fulfilment, process payments, or issue supplier invoices.
Supplier responsibilities
- Suppliers must provide accurate company, contact, VAT, licence, registration, and product information.
- Suppliers remain responsible for food-safety compliance, labelling, ingredients, allergens, storage instructions, product certificates, import/distribution permissions, and recall cooperation.
- Suppliers must have the rights to upload or link product images, logos, documents, certificates, and other materials.
- Suppliers must keep product availability, delivery regions, prices, minimum order quantities, and fulfilment terms current.
- Suppliers must not upload misleading, infringing, unsafe, illegal, or non-compliant content.
Buyer responsibilities
- Buyers must use the platform only as business customers and provide accurate company and delivery information.
- Buyers must review supplier profiles, product details, delivery terms, payment terms, invoices, and confirmations before relying on them.
- Buyers remain responsible for purchase decisions, receiving requirements, resale obligations, and business compliance applicable to their operations.
Order request model
A buyer submission is an order request to a supplier. Supplier confirmation, payment terms, delivery terms, invoice links, delivery dates, and status updates are provided by the supplier. The final sales contract, if any, is between the buyer and supplier unless a separate written agreement says otherwise.
Uploads and content licence
By submitting company details, documents, logos, product images, product content, and order notes, users confirm that they have the right to provide that content and allow FromAsia Foods to store, process, display, transmit, and review it as needed to operate the B2B platform, support transactions, verify companies, handle complaints, and comply with legal obligations.
Review, restrictions, and suspension
FromAsia Foods may review, reject, restrict, suspend, deactivate, or remove company accounts, product listings, uploaded files, order-related content, or access rights where information appears incomplete, misleading, unlawful, infringing, unsafe, fraudulent, or inconsistent with platform rules. The final restriction and appeal process must be aligned with the P2B Regulation, DSA, and German law where applicable.
Complaints, illegal content, and food-safety notices
Users and third parties should be able to report suspected illegal content, IP infringement, false company information, unsafe food, non-compliant product information, or misuse of the platform. FromAsia Foods should log, review, and respond to notices using the internal compliance process before launch.
Recall and regulatory cooperation
Suppliers must cooperate with recall requests, product withdrawals, regulator questions, and food-safety investigations. FromAsia Foods may preserve records, restrict listings, notify affected users, and cooperate with competent authorities where legally required or operationally necessary.
Remaining terms to finalize before launch
- Final German operating entity and contact details.
- Commercial fees, commissions, payment model, invoice responsibility, and tax wording.
- Formal complaint, notice-and-action, appeal, mediation, and dispute-resolution process.
- Detailed data access, retention, audit-log, and contract termination wording.
- Jurisdiction, governing law, limitation of liability, indemnity, and severability clauses.
Status
This launch draft prevents a broken footer link while making clear that final lawyer-reviewed AGB are still required before public launch.
